How to generate an NDA (non-disclosure agreement)

Generate an NDA tailored to your case — mutual or one-way, customizable term and defined jurisdiction.

  1. Choose the NDA type

    One-way (only one party discloses) or Mutual (both disclose). Mutual is standard in partnerships.

  2. Fill in the parties' details

    Legal name, company registration/tax ID and address for each party. For individuals: name and address.

  3. Define the scope of confidential info

    Broad ('all information exchanged') or specific ('product X, source code Y'). Specific is legally stronger.

  4. Set the term and jurisdiction

    Term: 2-5 years is reasonable (perpetual isn't enforceable). Pick the governing law and venue.
